1. Acceptance of Terms
By accessing or using ProfitStack ("the Service") at useprofitstack.com, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.
2. Description of Service
ProfitStack is a SaaS platform designed to help automotive dealership Finance & Insurance (F&I) professionals track, analyze, and improve performance metrics. Access to the Service is provided on a subscription basis.
3. Eligibility
You must be at least 18 years of age and authorized to enter into binding contracts on behalf of your dealership or organization to use the Service.
4. Account Registration
You agree to provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@useprofitstack.com if you suspect unauthorized access.
5. Subscription and Payment
Access to ProfitStack requires a paid subscription. Payments are processed securely through Stripe, a third-party payment processor. By subscribing, you authorize recurring charges to your payment method at the rate agreed upon at signup. Fees are generally non-refundable except as outlined in our 30-Day Money-Back Guarantee (see Section 6).
6. 30-Day Money-Back Guarantee
If you are not satisfied with ProfitStack within the first 30 days of your initial subscription, contact us at support@useprofitstack.com for a full refund. This guarantee applies to first-time subscribers only and does not apply to subsequent subscription periods.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service or its systems
- Reverse engineer, copy, or redistribute any part of the platform
- Upload false, misleading, or malicious data
- Share account access with unauthorized users
- Use the Service to develop, train, or inform any competing product or service
8. Intellectual Property
All content, features, and functionality of ProfitStack™, including but not limited to software, design, text, graphics, the ProfitStackFI CORE™ System, and F&I Playbooks, are the exclusive property of ProfitStack FI LLC and are protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service during your active subscription period only.
9. Proprietary Methodology and F&I Playbooks
The ProfitStackFI CORE™ System and related proprietary methodologies are owned exclusively by ProfitStack FI LLC. The F&I Playbooks and related training content ("Playbook Content") are also proprietary materials. You agree to the following:
- Playbook Content and the CORE™ methodology are licensed for use within the platform only and may not be copied, exported, shared, or reproduced outside of the Service
- Upon cancellation or termination of your subscription, your license to access Playbook Content and the CORE™ System immediately expires and all access will be revoked
- You may not use Playbook Content or the CORE™ methodology to develop, inform, or improve competing products or services
- Unauthorized use or distribution of Playbook Content may result in legal action
10. F&I Compliance Disclaimer
ProfitStack provides F&I Playbooks, performance data, and sales guidance for training and performance improvement purposes only. The platform does not constitute legal, compliance, or regulatory advice. Users are solely responsible for ensuring their F&I practices comply with all applicable federal and state laws and regulations, including but not limited to:
- The Truth in Lending Act (TILA) and Regulation Z
- The FTC Safeguards Rule
- The Gramm-Leach-Bliley Act (GLBA)
- State dealer licensing and F&I disclosure requirements
ProfitStack FI LLC assumes no liability for regulatory violations, fines, or penalties arising from a user's F&I practices, regardless of whether those practices were informed by content available on the platform.
11. No Guarantee of Results
ProfitStack provides tools and data designed to support F&I performance improvement. However, we make no guarantee that use of the platform will result in specific performance outcomes, increased revenue, or improved penetration rates. Results will vary based on individual dealership conditions, personnel, and market factors.
12. Confidentiality
You agree to keep confidential any non-public information about the platform's features, pricing, Playbook Content, the CORE™ methodology, or other proprietary information that you access through your subscription. This obligation survives termination of your account.
13. Data Security and Breach Notification
ProfitStack FI LLC employs industry-standard security measures to protect the data you upload and store on the platform, including encryption in transit and at rest. In the event of a confirmed data breach that affects your account or data, we will notify you promptly and in accordance with applicable law. You are responsible for the accuracy and legality of any data you upload to the Service. Do not upload data containing personally identifiable customer information including but not limited to customer names, Social Security Numbers, dates of birth, or financial account numbers.
14. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, available at useprofitstack.com/privacy. By using the Service, you consent to the collection and use of your data as described therein.
15. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms. Upon termination, your access to the platform and all Playbook Content will be immediately revoked. You may cancel your subscription at any time through your account settings or by contacting support@useprofitstack.com.
16. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. ProfitStack FI LLC does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
17. Limitation of Liability
To the maximum extent permitted by law, ProfitStack FI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
19. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes via email or a notice on the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.
